4. Dialogue with the Indonesian government and government related institutions on rules and enforcement on corporate governance (FCGI Position Papers on Good Corporate Governance)
  1. FCGI Cooperation with the Indonesia Capital Market Supervisory Agency (BAPEPAM)

    The cooperation with the BAPEPAM is to conduct the cooperation of socialization of the best practices based on the respective BAPEPAM rules as, therefore, the so-called best practices could be used either by the public listed company or non public listed company, either by the SOEs (State Owned Enterprises) or non-SOEs. The way to socialize the respective rules in the form of best practices is, for instance, by publishing the rules of BAPEPAM embodied the corporate governance practices. They will be made in the book published by the FCGI. This compiling respective rules will be the best practices that it has also the purpose on: First, to show to the international community that Indonesia had already the corporate governance principles separated in such circular rules and secondly the aforesaid best practices is the living documents.
     
  2. FCGI Cooperation with the NCCG and Participation in the Asian Development Bank (ADB) Donor Coordination Forum

    Besides submitting the inputs on implementing code of conduct and carrying out several joint meetings, taking position as a complementing organization to the NCCG the FCGI has currently delivered presentation of its efforts and strategies on disseminating good corporate governance principles before the ADB Donor Coordination Forum. The presentations particularly are on supporting the NCCG to provide the strategy in implementation the Code of Conduct and, later on, to socialize the Code of Conduct to the business community in Indonesia. The FCGI presented its FCGI Position Paper on Action Plan in Implementation Good Corporate Governance at the recent ADB Donor Coordination Forum on 14 November 2000. It was delivered by Mr. Eddie M. Gunadi, Acting Chairman of the FCGI.

    Other position papers, respectively the FCGI First Position Paper and the FCGI Second Position Papers are discussed by the FCGI and its government counterparts (the NCCG and the BAPEPAM) through several joint meetings held by the FCGI and respective institutions. Herewith the summary of those aforementioned FCGI Position Papers:
  1. 1st Position Paper of Forum for Corporate Governance in Indonesia (Draft Matrix of Corporate Governance and Framework Code of Good Corporate Governance)
    This position papers was made and submitted to the National Committee of Good Corporate Governance (NCCG / KNKCG) in April 2000 prior to the May 1st revision Code of Good Corporate Governance draft. The aforesaid position paper was addressed to formulize the revision of the Code of Conduct based on inputs come from association joined the FCGI. It contains several items consisting of: Objective and Definition of Corporate Governance, Key Features of Corporate Governance in Indonesia, recent Reforms in Corporate Governance, and Policy Recommendations.
  2. 2nd Position Paper for Recommendations concerning Good Corporate Governance (Detailed Comments)
    This position paper is a detailed reaction on the Code for Good Corporate Governance on May 1st, 2000. The position paper consist of:
    - Recommendations for improvement of the current legal framework, based on possible inconsistencies of the Code with current other laws that the companies have abide with, e. g. Company Law (UUPT), Law on Capital Market, Banking Law, etc.
    - Practical problems that may arise in the implementation of each provision of the Code and recommendations to companies.
    - Suggestions for changes in the Code.
  3. 3rd FCGI Position Paper on Action Plan in Implementation Good Corporate Governance
    There are several main issues addressed by the FCGI respectively: The Self Assessment Scorecards System on Good Corporate Governance Practices, The Independent Certification on Good Corporate Governance, and Training on Good Corporate Governance. These issues are proposed by the FCGI in order to make the principles of good corporate governance more actual and readily be applied for the companies and the stakeholders.
  1. FCGI Secretariat and other FCGI related activities

    INA and the Netherlands Ministry of Economics Affairs (MINEZ) support the FCGI with the secretariat (starting in April 2000) and with the foreign expertise of MINEZ. A good response from Indonesian communities on Corporate Governance issues are indicated by many inquiries on Corporate Governance issues are addressed to the FCGI secretariat by email, telephone, etc. The various questions come from private companies, business communities and all those kinds of stuff.

    An exposure of corporate governance with publishing the article through prominent business magazines or newspapers has been started through INA Magazines Volume XI No. 3 Year 2000. Other exposures that still in process are articles written by Members of the Board FCGI and second publication, booklet on "The Roles of the Board of Commissioners and Audit Committee in Corporate Governance".
